Terms of Service

These Terms of Service ("Terms") govern your use of the Seedstock Pro website and cattle management platform (the "Service") operated by Seedstock Pro ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Account Registration

To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

You must be at least 18 years old to create an account. By registering, you represent that the information you provide is accurate and that you have the authority to enter into these Terms.

2. Service Description

Seedstock Pro is a web-based cattle management platform that provides tools for herd inventory, breeding records, medical records, financial tracking, and other operational management features for cattle producers. The Service is provided on a subscription basis.

3. Subscriptions and Payment

Free Trial: New accounts receive a 14-day free trial with full access to the Service. No credit card is required for the trial period.

Subscription Plans: After the trial period, continued access requires a paid subscription. Current plans and pricing are listed on our pricing page. We reserve the right to change pricing for new subscribers at any time, but your subscription rate at the time of purchase will not increase for the duration of your subscription.

Billing: Subscriptions are billed monthly or annually through Stripe, Inc. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation: You may cancel your subscription at any time through the Stripe customer portal or by contacting us. Upon cancellation, you will retain access through the end of your current billing period. No refunds will be issued for partial billing periods.

Promotional Codes: Promotional pricing is offered at our discretion and may be subject to additional terms. Promotional rates apply only when a valid code is entered at checkout.

4. Your Data

Ownership: You retain full ownership of all data you enter into the Service, including herd records, breeding records, medical records, financial data, images, and any other information ("Your Data").

License: By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Data solely for the purpose of providing the Service to you.

Export: You may export Your Data at any time using the export features available within the platform.

Data Retention: If your subscription expires or is canceled, we will retain Your Data for 90 days. During this period, you may reactivate your subscription to regain access. After 90 days, Your Data may be permanently deleted. We are not responsible for data lost after the retention period.

Backups: While we make reasonable efforts to maintain the availability of Your Data, we are not responsible for data loss due to technical failures, service outages, or events beyond our control. We recommend that you maintain your own backups by regularly exporting your data.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Share your account credentials with unauthorized users
• Attempt to access another user's data or account
• Interfere with or disrupt the Service or its infrastructure
• Use automated tools to scrape, crawl, or extract data from the Service
• Upload content that is malicious, harmful, or violates the rights of others
• Resell, sublicense, or redistribute the Service without our written consent

We reserve the right to suspend or terminate your account for violations of these Terms.

6. Intellectual Property

The Service, including its design, code, features, logos, and documentation, is owned by Seedstock Pro and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

The Seedstock Pro name, logo, and "Data Driven. Herd Strong." tagline are trademarks of Seedstock Pro. You may not use our trademarks without prior written consent.

7. Third-Party Services

The Service integrates with third-party providers including Stripe (payments), Cloudinary (image storage), and Railway (hosting). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions, availability, or policies of third-party providers.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy of any calculations, reports, or data generated by the Service. You are responsible for verifying the accuracy of any data before relying on it for business or financial decisions.

The Service includes ration calculators, gestation calculators, weight adjustment formulas, and other tools intended as management aids. These tools are not a substitute for professional veterinary, nutritional, or financial advice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEEDSTOCK PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR LIVESTOCK, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Seedstock Pro, its owner, and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify subscribers of material changes to features or functionality.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you should discontinue use of the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Louisiana.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Seedstock Pro regarding the Service and supersede any prior agreements or understandings.
